Stages Payment Process Explained

This Staged Payment Supply & Installation Agreement outlines the terms under which Simple Pay Carpets Ltd supplies flooring materials and installation services under a staged payment arrangement.

This agreement is between Simple Pay Carpets Ltd (“the Company”) and the customer named in the order confirmation (“the Customer”).

1. Definitions

  • Goods: Carpet, vinyl, laminate, underlay, accessories and related materials supplied by the Company.
  • Services: Measuring, preparation, delivery and installation services.
  • Order: The signed quotation and agreed product selection.
  • Deposit: The initial payment required to secure the order.
  • Instalments: Staged payments agreed for the remaining balance.
  • Total Contract Price: The full agreed cost of goods and services.

2. Formation of Contract

The agreement becomes legally binding once the customer accepts the quotation and pays the required deposit.

  • No call-out or quotation fee is charged.
  • This arrangement is a staged payment supply agreement and does not constitute a loan or regulated credit agreement.

3. Description of Goods

  • All goods are described as accurately as possible.
  • Samples are representative only.
  • Colour, shade, texture and batch variations are normal within the flooring industry.
  • Measurements are approximate and subject to installation tolerances.

4. Deposit Structure

Deposits are structured as follows:

  • Orders up to £350 — £50 deposit
  • Orders £350–£700 — £75 deposit
  • Orders £700–£1,000 — £100 deposit
  • A minimum payment of £50 is required when accepting the quotation.
  • Any remaining deposit balance must be paid within 30 days.
  • Materials will not be ordered until the full deposit is received.
  • Deposits are non-refundable.
  • Once materials have been ordered, cut or prepared, all payments become non-refundable.
  • A £15 restocking fee and £10 administration fee may apply where relevant.

5. Staged Payment Terms

  • The remaining balance is paid through agreed instalments.
  • Instalments begin before installation.
  • Payments are collected automatically using recurring card authority.
  • The customer authorises Simple Pay Carpets Ltd to process payments automatically.
  • Instalment frequency and duration will be confirmed in writing.
  • No interest is charged.
  • The balance may be settled early at any time.
  • Where more than 50% of the balance remains, a discretionary early settlement discount of up to 10% may be offered.

6. Failed Payments

  • Payment collection will be attempted up to three times.
  • After three failed attempts a £10 administration fee may be applied.
  • The company will contact the customer to resolve the issue.
  • Continued non-payment may be treated as a breach of contract.

7. Retention of Title

  • Ownership of all goods remains with Simple Pay Carpets Ltd until the balance is paid in full.
  • Risk transfers to the customer once installation is completed.
  • The customer must not sell, damage or dispose of goods before full payment.
  • The customer remains responsible for the full contract price.

8. Installation Conditions

Installation dates are provisional until the deposit has been paid in full.

The customer must ensure:

  • Clear and safe access to the property
  • Rooms cleared unless otherwise agreed
  • A safe working environment for installers
  • Furniture removal may be charged at £10 per item.
  • Door trimming may be charged at £35 per door.
  • Subfloor issues may delay installation.
  • Additional preparation work may incur extra charges.
  • If installation cannot proceed due to customer fault, the full fitting cost may still be payable.

9. Access Failure

If installers attend and:

  • No one is present
  • The property is not prepared
  • Payment arrangements are not available

The company may charge the full fitting cost and any rescheduling fees.

10. Subfloor and Property Disclaimer

  • The company is not responsible for hidden subfloor defects.
  • Existing flooring removal may reveal issues requiring further work.
  • The customer accepts responsibility for the structural condition of the property.

11. Measurement Liability

  • Measurements taken by company representatives are used for quotations.
  • Customer supplied measurements require a signed waiver.
  • The company is not liable for measurement errors provided by the customer.

12. Cooling-Off Period

  • If the agreement is made in the customer’s home, a 14 day cooling-off period applies.
  • The customer may request work to begin before this period ends.
  • Cancellation rights are waived once materials are ordered or cut.

13. Cancellation and Termination

  • Deposits are non-refundable.
  • If materials have already been ordered, the customer remains liable for the full material cost.
  • Administrative and restocking fees may apply.
  • Persistent non-payment may result in termination of the agreement.

14. Chargebacks

  • Unjustified payment chargebacks constitute a breach of agreement.
  • The company reserves the right to recover funds owed.
  • Product warranties may be suspended during disputes.

15. Limitation of Liability

  • Liability is limited to the total contract price.
  • The company is not liable for indirect or consequential losses.
  • Nothing in this agreement excludes liability for death or personal injury caused by negligence.

16. Data and Payment Authority

  • The customer consents to recurring card payments.
  • The customer consents to communication via phone, SMS and email.
  • Customer data is processed in accordance with the company Privacy Policy.

17. Force Majeure

The company is not responsible for delays caused by events beyond reasonable control including supply chain disruption, illness, severe weather or other force majeure events.

18. General

  • This agreement represents the entire agreement between both parties.
  • No changes are valid unless agreed in writing.
  • If any clause becomes invalid, the remaining clauses remain enforceable.
  • This agreement is governed by the laws of England and Wales.
